BY – LAWS

Article I

The name of this organization is "Friends of the German School, Washington D.C.", (hereinafter the Friends)

Article II

The Friends is a non-profit organization. The Friends is organized as an educational, social and charitable organization, its activities are not to be conducted for profit and none of the funds raised or earned by the Friends shall inure to the benefit of any private individual or member of the Friends. This organization is not authorized to issue capital stock.

Article III

The purpose of this organization is to promote friendship and intercultural exchange among persons associated with the German School Washington, D.C. (hereinafter the School) and to undertake, promote and raise funds for special projects benefiting the School. These projects must be of educational value, and to the benefit of as many students as possible.

Article IV

All persons interested in the purpose of the organization may become members of the Friends.

Article V

The fiscal year shall be from June 1 to May 31. Membership dues are payable annually in October of each calendar year.

Annual membership dues shall be determined by vote of the members at the spring general membership meeting.

Article VI

There shall be an annual meeting of the Friends in the last quarter of the fiscal year for the purpose of electing officers for the next term and for the transaction of such other business as may come before the organization.

Vacancies on the Board of Directors shall be filled by commission by the remaining members of the board to serve in those vacant positions until the next election.

b)  There shall be a meeting of the Friends in the fall of each year, at which the activities for the following school year be presented.

A quorum at all membership meeting shall be 10 (ten) members.

Special meeting of the Friends shall be held upon request of at least 10 (ten) members.

There shall be at least a 2 (two) weeks notice given for the spring and fall meetings, and at least 2 (two) weeks but not more than 4 (four) weeks notice given for any special meeting.

Article VII Voting

Each person who has paid the annual membership dues for the fiscal year shall be entitled to 1 (one) vote. Each vote must be cast by the member in person.

Article VIII Finances

In order to carry out purposes of the Friends, gift and donations may be accepted, except gifts and donations from any political party, and no funds of the Friends shall be used for any political purpose.

The Friends may engage in such fund-raising activities as are consistent with the purpose of the Friends.

All funds raised by the organization, net of necessary expenses, shall be turned over to the Friends of the German School Charitable Trust; a non-profit organization exempt from tax under Section 501 (c) (3) of the Internal Revenue Code pursuant to a ruling of the International Revenue Service dated August 28, 1969.

The Board of Directors shall, by majority vote, appoint one or more persons to serve for a two-year term as a Trustee on the board of three Trustees of the Friend of the German School Charitable Trust, it being understood that any Trustee appointed by the Board shall tender a written resignation as trustee effective at the end of the two-year term. The Board of Directors shall similarly appoint a person to fill any vacancy that may occur among the trustees, subject to such a person also tendering a written resignation effective at the expiration of the term for which such person was appointed. Each such term shall begin on September 1st.

Article IX Officers

There shall be a president, First Vice President, Second Vice President, Secretary and Treasurer. The officers shall be elected for a 2 (two) year term.

Article X Board of Directors and Executive Committee

There shall be a Board of Directors of 9 (nine) members; five of who shall be the elected officers of the Friends and the remainder shall be member elected for a 1 (one) year term at the annual spring meeting. There shall be an Executive Committee of the Board of directors consisting of the elected officers of the Friends.

The Board of Directors shall be responsible for the management of the Friends between the meetings of the Friends. The Board of Directors shall meet at least every other month. Meetings of the Executive Committee shall be at the call of the President.

Article XI Committees

Ad hoc committees of the Friends and their chairmen shall be established by the President to carry out specific assignments.

Article XII

The By-Laws of the Friends may be amended by an affirmative vote of two-thirds of the members present at a meeting provided that at least three weeks written notice of the proposed changes has been mailed to each member.

Article XIII Adoption

These By-Laws become effective and the Friends established there under upon the signing of these By-Laws by at least 10 (ten) members
